Welcome to the Webline Masters, LLC Client Portal (the “Portal”). By using this Portal, you agree to these Terms, which govern the relationship between you (the "Client") and Webline Masters, LLC, a Delaware limited liability company.

1. Scope of Professional Services

Webline Masters provides a diverse range of digital and business consulting services. All work is governed by the specific Scope of Work (SOW) in your signed Proposal:

  • Digital Development: Custom Web (Next.js, PHP), E-Commerce (Shopify, WooCommerce), and Mobile App Development.

  • Design & Identity: UI/UX Design, Brand Identity, and Landing Page creation.

  • Growth & Marketing: SEO Optimization and Digital Marketing Campaigns.

  • Infrastructure: Secure Hosting Setup (AWS, Vercel), Domain Registration, and Website Migration.

  • Business Formation: US LLC and UK LTD Company Formation and registration assistance.

2. Payment Terms & Government Fees

  • Invoicing: Fees are payable via integrated gateways (e.g., Stripe).

  • Company Formation Fees: For US/UK registration, Government Fees (state filing fees, IRS fees, etc.) are separate from Webline Masters' service fees. All government fees are non-refundable once the filing process has initiated.

  • Subscription Services: Hosting and maintenance fees are recurring. Failure to pay may lead to automated service suspension via our system’s Cron Job.

  • Refund Policy: Payments for initiated work phases, custom designs, or completed migrations are non-refundable.

3. Client Obligations

  • Information Accuracy: For company formation, the Client must provide accurate and legal identification. Webline Masters is not liable for rejected filings due to inaccurate client data.

  • Asset Delivery: Project timelines depend on the Client providing necessary content, logos, and API credentials promptly.

4. Intellectual Property (IP)

  • Ownership: Upon full payment, the Client owns the final source code and design assets created for their project.

  • Third-Party Assets: Stock photos, specific fonts, or third-party plugins may be subject to their own licenses which the Client must adhere to.

  • Pre-existing IP: Webline Masters retains rights to its internal development frameworks and proprietary automation scripts.

5. Third-Party Dependencies

  • Service Providers: We integrate with third parties (OpenAI, AWS, Vercel, Shopify, Hostinger, Google, and Government Registries). We are not responsible for downtime, policy changes, or service interruptions caused by these external entities.

  • SEO & Marketing: While we use proven strategies, we do not guarantee specific search engine rankings or conversion rates as these are subject to external market algorithms.

6. Liability & Dispute Resolution

  • Limitation of Liability: Webline Masters, LLC is not liable for indirect damages, loss of data, or loss of profits resulting from the use of our services or the Portal.

  • Governing Law: These terms are governed by the laws of the State of Delaware. Disputes shall be resolved through binding arbitration in Dover, Delaware.
